Terms and Conditions

Chip One Stop Inc. (having its principal place of business at LIVMO Rising Bldg, 10F, 3-19-1 Shin-Yokohama, Kouhoku-ku, Yokohama, Kanagawa, 222-8525) ,Chip One Stop Hong Kong Limited (having its principal place of business at 20/F, Tower Two, Ever Gain Plaza, 88 Container Port Road, Kwai Chung, New Territories, Hong Kong) or its subsidiaries (collectively “Chip One Stop”) operates www.chip1stop.com (the “Site”) and provides a catalog and other marketing materials(“Other Media”). Upon using services provided by accessing and using the Site and the Other Media (“Chip One Stop’s services”), you agree to each of the terms and conditions set forth herein as followed (“Terms and Conditions”).

Article 1 Registration

1.

Members under the Terms and Conditions are companies, organizations and entities, the individuals who belong to the above entities, and the individuals who use the Site for business purpose, which agree to the Terms and Conditions and apply to the use of Site by the method defined by Chip One Stop and Chip One Stop has approved its use. As Chip One Stop’s services is B to B service, the purpose for purchase of products using Chip One Stop’s services will be limited to commercial purposes. Individual consumers cannot become members of Chip One Stop’s Site. It will be deemed that Chip One Stop has approved the use by members when members are allowed to log into Site at normal procedures, otherwise when Chip One Stop’s services will become available to members with the manner prescribed by Chip One Stop through the Other Media.

All of necessary information to be entered or selected in the register is true at that time members will enter or select

If Chip One Stop finds those who have applied to the membership falls under any of the below conditions or Chip One Stop recognize that those are inappropriate, membership registrations may be refused.
1) An applicant does not actually exist
2) An applicant already has registered to Chip One Stop’s services
3) When an applicant submits a membership application, membership is under suspension due to violation of the Terms and Conditions, or was punished by expulsion due to violation of the Terms and Conditions in the past
4) When filing the application form, an applicant makes false statements, errors, or omission
5) An applicant previously failed to pay or has failed to make payment for products purchased on the Site at the time of the application for registration
6) The credit card which an applicant registers as a payment method has been disabled by your credit card company at the time of application for registration
7) An applicant purchases products for non-commercial purposes from Chip One Stop’s services
8) An applicant is a under age, a ward who are of age, a person under curatorship who are of age, or a person under assistance who are of age
9) There are obstacles that hinder the implementation of Chip One Stop’s business and / or for technical reasons

4.

Effective period of membership registration is from the date Chip One Stop accepts the registration to the date of withdrawal from membership.

Article 2 Relationship between Members and Companies to which They Have Belonged

1.

In case that an applicant has belonged to companies, institutions, organizations whose uses of Chip One Stop’s services are approved by Chip One Stop (“Customer Entity”), when the applicant complete the registration of membership, a contract between Chip One Stop and Customer Entity to which the applicant belong will be established based on this Terms and Conditions.

2.

Members belonging to Customer Entity shall take prior approval of their Customer Entity for their registration to Chip One Stop’s services and for the purchase of products through Chip One Stop’s services.

3.

When a new registrant belongs to Customer Entity, Chip One Stop may contact the pertinent Customer Entity. And when it is found that no such approval has been obtained by such registrant, the membership registration or purchases may be declined.

4.

Notwithstanding Article 2.3, when payment for the purchases could not be claimed because a member belonging to Customer Entity has not taken the consent of its Customer Entity or that purchases have been made beyond the range that is acceptable to its Customer Entity, the member carrying out such acts may lose the membership and a claim for damages may be made against such member.The dispute caused by these acts, shall be resolved between the member and its Customer Entity, and Chip One Stop assumes no responsibility definitely.

Article 3: Membership Information Change & Membership Withdrawal

1.

When there is any change of registration information, a member shall be obliged to register its change through the membership information change page of the Site immediately.

2.

When a member wish to withdraw the membership, the member will offer to withdraw in the manner designated by Chip One Stop. In such case, its withdrawal of membership shall complete at the date of receipt by Chip One Stop.

3.

When one of the followings applies to a member, Chip One Stop may terminate the membership of such member and shall be able to stop the use of Chip One Stop’s services:
1) A member will not execute its obligations under this Terms and Conditions or will violate this Terms and Conditions;
2) When a member has registered false information to Site;
3) When a member will leave Customer Entity;
4) When a member is caught in a seizure, a provisional seizure, a petition for provisional disposition or auction, or fails to pay taxes and public duties, or is subjected to seizure by the delinquent taxes;
5) When a member is default on note, bounces a check, ceases to payment or fails to make a payment;
6) When a petition for bankruptcy, special liquidation proceedings, civil rehabilitation, corporate reorganization proceedings, a special arbitration or similar proceedings is made against a member, or a member otherwise enters into liquidation;
7) When a member intends to merger or dismisses its business, transfer all or a significant part of its business to a third party or split its business;
8) If a member’s credit conditions deteriorate significantly;

4.

When a member withdraws from membership or loses its membership, the member loses its merit of terms on any liability to Chip One Stop by that time, and then shall immediately repay the debt to Chip One Stop.

5.

When any items set forth in Article 3.3 is applicable to Customer Entity, Chip One Stop may terminate the membership of members belonging to such Customer Entity or may stop the usage of such members for Chip One Stop’s services.

Article 4 User ID and Password

1.

A member takes full responsibility for controlling and using its user ID and password. Chip One Stop recommends that members use a user ID and password that third parties may not be able to predict with relative ease.

2.

User ID and password should be used only by members. So, members must not transfer, sell, lend, or pledge as collateral their membership to any third party.

3.

Chip One Stop takes no liability for unauthorized use of user ID and password by the third party even when a member will be caused damage. A member will owe all liabilities caused by purchasing products or any actions through using its user ID and password on Chip One Stop’s services Chip One Stop strongly recommends that members log out of the Site and close their browser window when their sessions are completed to help prevent unauthorized persons from accessing User ID. Please contact Chip One Stop immediately at int@chip1stop.com if a member believes that User ID has been lost or stolen, or that someone may attempt to use User ID without your consent. Please keep in mind that no Internet site is 100% secure. Thus, while Chip One Stop strives to protect the personal information and privacy of its users, member’s use of the Site to transmit or store personally identifiable information is at their own risk.

Article 5 Application and Change of the Terms and Conditions

1.

The Terms and Conditions should be applicable all transactions and any actions through using Chip One Stop’s services, and members are deemed to have understood and approved the Terms and Conditions.

2.

Chip One Stop may change the Terms and Conditions from time to time, and when Chip One Stop change the Terms and Conditions, we will post the revised Terms and Conditions on Site to notify the change to all members.

3.

The new Terms at the time the Terms and Conditions post on the Site after such change shall become effective for all members.

Article 6 Notice from Chip One Stop

1.

Chip One Stop will notify the members online of the necessary changes in the manner which Chip One Stop deems appropriate.

2.

Notification described in the preceding paragraph shall become effective from the time when such notification is posted online or is made available pursuant to the preceding paragraph.

Article 7 Facilities

Members should prepare and keep in a good condition for use of all communications equipment, software, and all the other concomitant equipment needed to use Chip One Stop’s services, by their own expense and responsibilities. Members should connect to the service through any telecommunications service at their own expense and responsibility

Article 8 Change and Termination of Chip One Stop’s Services

1.

Chip One Stop may change, enlarge, pause or terminate Chip One Stop’s services without the prior notice to members.

2.

Chip One Stop takes no responsibility for any damage which may be caused to members by change, enlargement, pause or termination of Chip One Stop’s services described in the previous paragraph.

Article 9 Temporary Halt of Services

1.

Chip One Stop may stop providing Chip One Stop’s services temporarily without prior notice to members when the below incidents have occurred:
1) There is an emergency or regular maintenance of facilities for providing Chip One Stop’s services;
2) Chip One Stop cannot not provide Chip One Stop’s services due to a fire and power outage etc;
3) Chip One Stop cannot provide Chip One Stop’s services due to a disaster such as earthquake, volcanic eruption, flood, tsunami, epidemics;
4) Chip One Stop cannot provide Chip One Stop’s services due to a war, convulsion, riot, civil commotion, labor dispute;
5) Chip One Stop decides to stop temporarily Chip One Stop’s services for operational or technical reasons;

2.

Chip One Stop takes no responsibility for any damages which may be caused to members or any third parties by delay or temporary interruption of services due to a reason described in the previous paragraph or any other reasons that may arise.

Article 10 Quotation

1.

Quotation of Chip One Stop’s services will be provided on the Site, by fax or any other a manner which Chip One Stop has designated.

2.

The quotation will be valid for 10 days from the date when the quotation is first provided.

3.

Even within the time period during which the quotation is valid, Chip One Stop may not sell its products at the same condition pursuant to the quotation when the order date is far from the quotation date.

Article 11 Order

1.

All orders for Chip One Stop’s services must been via the Site or any other way which is designated by Chip One Stop.

2.

Orders can be placed via the Site and via Fax throughout the day, but order receipt procedures will be executed between 9:00 to 17:30 Japanese Standard Time on Chip One Stop’s business day, which is indicated in Business Day Calendar on Site, with the exception of an interruption of services addressed in Article 9.

3.

Orders will be confirmed when Chip One Stop sends an order acceptance confirmation to member’s registered contacts by contact media which Chip One Stop has designated, such as E-mail address, fax number, telephone number.

4.

If Chip One Stop finds it inappropriate, we may refuse the order for the sale of its members.

Article 12 Contracts with Members Belonging to the Customer Entity

1.

When a member belonging to the Customer Entity makes an order under Article 11, the sales contract for purchasing products with Chip One Stop’s services shall come into effect between Chip One Stop and the Customer Entity.

2.

In case of the preceding paragraph, the provisions from Article 13 to 16 and 18 to 20 shall be applied on the sales contract between Chip One Stop and the Customer Entity. Chip One Stop may regard acts of members belonging to a Customer Entity as those authorized lawfully by Customer Entity, and consider member in each article as Customer Entity.

Article 13 Price, Conditions for Conclusion and Cancellation of Contracts

1.

Prices are subject to change at any time. Prices are for products only and do not include taxes, shipping charges, freight, duties, and other charges or fees, such as fees for special packaging and labeling of the products, permits, certificates, customs declarations and registration (collectively, “Additional Fees”). Customer is responsible for any Additional Fees.

2.

Sales contracts for product purchases with Chip One Stop’s services shall been concluded when the order is confirmed pursuant to Article 11.3, subject to a cancellation pursuant to Article 13.3.

3.

When Chip One Stop cannot procure products ordered by a member or there is an unavoidable reason, Chip One Stop may provide notice of cancellation to member’s registered contact by a contact media designated by Chip One Stop, such as E-mail address, fax number and telephone number within five working days from the date when orders are confirmed. In that case, Chip One Stop takes no responsibility for any damage of members caused by such cancellation.

Article 14 Shipment

Chip One Stop will make the best endeavor to ship products on the shipment date described on “Site” as well as Other Media of Chip One Stop’s services; however, members acknowledge that delivery may be delayed due to an unavoidable reasons, accident or disaster etc. In that case, Chip One Stop takes no responsibility for any damages experienced by members caused by such delays of delivery.

Article 15 Delivery

1.

Chip One Stop will ship the products ordered by members to the delivery destination designated by members.

2.

The delivery fee will be added to a product price unless a product is delivered by delivery firms designated by the customer on its account.

3.

A member which will make an order must pay costs incurred by return due to absence of recipient or incorrect delivery destination designated by the member.

4.

Chip One Stop will bundle a delivery slip to the product but will provide neither of specification documents such as a product specification, a packing specification and a warranty certificate.

5.

Members cannot refuse to receive the ordered products.

Article 16 Payment

1.

A consumption or sales tax for both product and a delivery charge will be added to the payment amount by members to Chip One Stop.

2.

Members could choose one of the following payment methods:
1) Prepaid by wire transfer
A member has to send a remittance to the bank account specified by e-mail that informs of accepting placed order or by an instruction on Site within two business days following the day of order. A remittance charge shall be borne by a member.
2) Credit Card
Chip One Stop does not keep customer credit card information; however, Chip One Stop may retain information such as a customer’s credit card encryption key, the last 4 digits of a customer’s credit card, the expiration date of a customer’s credit card and the name on the customer’s credit card.
In addition, Chip One Stop or a third party cannot use the above information to identify a customer’s credit card information (Chip One Stop uses a structure so that only credit card settlement company can identify credit card information).On the screen for setting order condition, members will choose or enter their credit card carrier, credit card number and expiration date and then click “confirmation of placing order.” Chip One Stop will use a monthly statement issued by the credit card company in place of a receipt.
3) Open account (Payment after goods received)
A member who has credit and authorized to open account by Chip One Stop will choose “net payment”, payment after goods received. The member has to send a remittance to the bank account specified by e-mail that informs of accepting placed order or by an instruction on Site. A remittance charge shall be borne by a member.

3.

All payments between Chip One Stop and its members must be settled without any offset, write-off or counter-claim.

4.

If a member fails to make any payment for any liabilities to Chip One Stop under this Terms and Conditions, a member shall pay to Chip One Stop 18.25% annum of the unpaid amount as liquidated damages together with principal from the date payment becomes due until the date payment is made.

5.

When Chip One Stop places a cancellation notice in accordance with Article 13.2 and the members already have made a payment, Chip One Stop shall refund by remittance to the bank account designated by a member without delay. In this instance Chip One Stop will pay for a remittance charge.

6.

In the event of a dispute over fees between a member and credit card companies or other debt collection companies, the dispute should be settled between the parties and Chip One Stop will not take any responsibility for the dispute.

Article 17 Payments by Members Belonging to Customer Entity

1.

A Customer Entity is obligated to pay for products ordered by members belonging to the Customer Entity, and the members belonging to the Customer Entity are also jointly and severally obligated to pay.

2.

Chip One Stop may deem payment from members belonging to Customer Entity as payment from the Customer Entity if members pay for the products purchased by Customer Entity.

3.

Chip One Stop may not accept orders for purchasing products by the member belonging to the Customer Entity upon request of the Customer Entity.

4.

In the event of a dispute over obligations for payment of purchased products between a member belonging to the Customer Entity and the Customer Entity, the dispute should be settled between the parties and Chip One Stop will not take any responsibility for the dispute.

Article 18 Cancelation and Return

1.

Members cannot cancel their orders, change products or change quantities after orders have been confirmed in accordance with Article 11.3. Members must ensure all orders are correct prior to submitting for processing.

2.

Only when Chip One Stop has confirmed that there is a deficiency in quantity, wrong merchandise received or apparent defect (broken, rust, etc.) on products delivered from Chip One Stop and members have informed Chip One Stop’s user support of the above facts within 5 days of the date of deliveries, Chip One Stop shall deliver a shortage of products, accept a return or exchange the products at the option of Chip One Stop

3.

When products delivered are purchased from the suppliers other than manufacturers or franchised distributors (including but not limited to the items which Chip One Stop has displayed as”This product may be purchased from the suppliers other than manufacturers or franchised distributors” when ordered), the preceding paragraph will not be applicable, and the remedies applicable to the members will be limited to the extent specified in Article 19.2.

4.

Chip One Stop will accept the above returns and exchanges in accordance with Article 18.2 above only if the original product is unused because of the nature of the products.

5.

When a member returns or exchanges products in accordance with Article 18.2, members should contact Chip One Stop’s customer support personnel in advance to obtain a return merchandize authorization (RMA). Chip One Stop will advise the customer on how to send the product and provide the delivery address. Although Chip One Stop is responsible for the shipping charge, Chip One Stop will not pay shipping charges if the product is not sent by the method Chip One Stop specifies.

Article 19 Warranty

1.

The content and time period of the quality guaranteed for the product offered on Chip One Stop’s services (only those which Chip One Stop purchased from the manufacturer directly or a franchised distributor) shall be limited within the range of the warranty provided by the manufacturer of the relevant product.

2.

With regard to the product procured from the suppliers other than manufacturers or franchised distributors (including, but not limited to, the items which Chip One Stop has displayed as “This product may be purchased from the suppliers other than manufacturers or franchised distributors”) when ordered, the preceding paragraph will not be applicable.
– The warranty range for the product purchased from the suppliers other than manufacturers or franchised distributors.
Products return is accepted by Chip One Stop only when a member notifies support personnel within eight days after delivery of the product and Chip One Stop acknowledges its return, as well as in either of the following cases:
1) If any defect was found in the product Chip One Stop delivered;
2)If the product Chip One Stop delivered is different from the one the member ordered;
– Response to the above notification shall follow either of the following: Notwithstanding anything herein contained to the contrary, the responsibility Chip One Stop owes will not exceed the sales price of that product.
1)Replacement (If we have the product in stock);
2)Refund (If we do not have the product in stock);
– Chip One Stop cannot accept any failure test analysis, ingredient research related to the RoHS directive, and environmental research.

3.

The guarantee for products from Chip One Stop’s services shall not exceed the sales price of the relevant product on this website.

4.

The following cases are not included in the warranty:
1) If a member resold the product to third parties;
2) In the case of failure or damage due to carelessness or improper handling by members or due to other cause attributable to members;
3) In the case of failure or damage due to use in combination with other products;
4) In the case of natural disaster, fire, environmental disruption, abnormal voltage, use of the power supply (voltage and frequency)or use under the circumstances other than the one we designate, and defects or damage due to external factors.

Article 20 Risk and Ownership

1.

Risk of loss or damage of products shall be transferred to members when the products have been shipped from Chip One Stop. (FCA shipping point of INCOTERMS 2000)

2.

Ownership of products will be transferred to members when those products have been delivered to members and payments for those products have been completed.

3.

When members do not comply with the deadline for payment, Chip One Stop shall retain the right to make members return products which Chip One Stop has sold and ownership of which has not been transferred to members. Chip One Stop, its employees and its agents shall have the absolute authority to recover the products and to enter into the location of the members for such purposes. Despite recoveries or requests to recover by Chip One Stop, the members are obligated to complete payment for products and Chip One Stop has the right to claim all of payment for the products.

Article 21 Disclaimer

1.

Although Chip One Stop has implemented the electronic and physical security measures on its services and Site, Chip One Stop will take no responsibility to fraudulent access to Site by third party and information leak.

2.

Chip One Stop will take no responsibility for any damage caused by mounting products sold from Chip One Stop’s services on equipments whose breakdowns or bungles impose serious effects on human lives or requiring high reliability and safety, such as a medical equipment, nuclear equipment, and aerospace-related equipment.

3.

Warranty against defects in products sold through Chip One Stop’s services (including but not limited to, the defective, counterfeit, or refurbished products) is limited to those defined in Article 18 and Article 19 of this Terms and Conditions, and Chip One Stop will not take any responsibility for other than them.

4.

Members take all responsibility for decision as to whether to accept the X-ray inspection service provided by Chip One Stop. Chip One Stop will not take any responsibility for the X-ray inspection service and Article 21.3 is applicable for warranty against defects of these products.

5.

Chip One Stop will not take any responsibility for damages on members and Customer Entity with respect to the use of Chip One Stop’s services, including those specified in the following sections:
1) Direct damages, loss of for expected gain, other consequential damages or incidental damages on a member and Customer Entity;
2) Damage caused by intent or negligence of a member, Customer Entity or a third party, or due to force majeure which is any event beyond the reasonable control of Chip One Stop (including strikes, traffic congestion, the downtime of any external line, or Chip One Stop’s inability to procure services, materials or articles required for the performance of the contract except at enhanced prices)
3) Damages caused by defects in contents of provided information;
4) Damages caused by usage of the products;
5) Damages caused by the infringement of copyright, patent, utility model right, design right, circuit layout right to use, trademark or other ntellectual property rights of a third party;
6) Damage caused by treatment or violation of export control.

Article 22 Exports

1.

When members and Customer Entities export or re-export the products purchased from Chip One Stop’s services which are regulated by the Foreign Exchange and Foreign Trade Act of Japan or any other applicable laws, regulations, requirements and requests of any other governments (“Regulations”), they will comply with any applicable Regulations. Also, they directly or indirectly will not export or re-export the products purchased from Chip One Stop’s services to any countries or areas to where export or re-export are prohibited or where export or re-export of them is prohibited under the Regulations. Members and Customer Entities will acquire all necessary permissions or approvals to export or re-export the products purchased from Chip One Stop’s services by their own responsibilities and costs and will make a report or notification as required.

2.

When members and Customer Entities export or re-export the products purchased from Chip One Stop’s services, they will confirm their customers and identify the intended application regardless of whether or not the products are regulated. They will not export or re-export the products purchased from Chip One Stop’s services, if the products are, or likely to be, diverted to development, manufacture, use or storage of weapons of mass destruction or used for the purpose of military research and military applications.

3.

When members and Customer Entities make unauthorized export or re-export contrary to the previous two paragraphs, Chip One Stop and those who manufacture or supply the products sold by Chip One Stop will not take any responsibility for any damage caused by this act.

4.

Members and Customer Entities also agree to comply with “Terms and Condition of Export

Article 23 Personal Information of Members

1.

Chip One Stop handles the personal information of members in accordance with the Privacy Policy of Chip One Stop.

2.

Members agree in advance, that personal information of members held by Chip One Stop is handled in accordance with the Privacy Policy of Chip One Stop and that the revised Privacy Policy is applied to members when the “Privacy Policy” is changed.

3.

Chip One Stop may tally and analyze the attributes of members’ personal information, and may create statistical data that is converted not to be identified of members and may utilize or process that data for executing businesses such as the development of new services. Chip One Stop also may provide that statistical information to third parties such as business partners.

Article 24 Intellectual Property Rights

1.

All products that are sold in Chip One Stop’s services are subject to intellectual property rights of the products such as copyrights (Right of reproduction, public transmission rights, and all rights not limited to), patents, utility model rights, design rights, the right to use circuit layout, trademark rights and other rights of third parties.

2.

The copyright of the information provided in Chip One Stop’s services belongs to Chip One Stop or the original author of such information.

3.

The copyright for Site and Other Media which Chip One Stop has provided remains the property of Chip One Stop, and a duplication of whole or part of Site and Other Media which Chip One Stop has provided is strictly prohibited without the prior written consent of Chip One Stop. Chip One Stop grants member a personal, non-exclusive, non-transferable license to use Site and Other Media which Chip One Stop has provided, and a duplication of whole or part of Site and Other Media (“Content”), provided that: (1) member only use these copies of the Content for your own internal business purposes or your personal, non-commercial use; (2) if a member is a competitor of Chip One Stop, commercial aggregator of data, or other commercial user, do not copy or post the Content on any network computer or transmit, distribute, publish or broadcast the Content in any media; and (3) a member does not modify or alter the Content in any way, or delete or change any copyright or trademark notice. No right, title or interest in any downloaded Content or materials is transferred to a member as a result of this license. Competitors and third party aggregators may not mirror, scrape, or frame the home page or any other pages of the Site on any other web site or web page. Competitors and third party aggregators may not connect “deep links” to the Site, i.e., create links to this site that bypass the home page or other parts of the Site without written permission. This prohibition is not intended to restrict the non-commercial activities of individuals.

Article 25 Self-Responsibility

1.

When members have been notified of queries or claims from a third party in relation to the use of Chip One Stop’s services, the members will handle such queries or claims on its own responsibility and account.

2.

When members causes damages to Chip One Stop or a third party by the use of Chip One Stop’s services (including damages due to the non-performance of their obligations hereunder), members must solve such damages by their own risk and expense.

Article 26 Notes on the Use of the Products

The products sold through Chip One Stop’s services are neither designed nor intended for use in safety-critical applications (such as life support)where a failure of the products would reasonably be expected to cause severe personal injury or death, for use in nuclear/military/aerospace applications or environments, or for use in automotive applications or environments. Members represent that they have all necessary expertise in the safety and regulation of its applications, and Members acknowledge and agree that they are solely responsible for compliance with all legal, regulatory and safety-related requirements concerning its products and any use of products in members’ applications, notwithstanding any applications-related information or support that may be provided by Chip One Stop. Members agree to indemnify Chip One Stop and the manufacturers of the products for all damages that may be incurred due to use of products in these applications. Also, Members should pay enough attention to the instructions and directions for use by manufacturers and the adequateness and safety of the products.

Article 27 Prohibition of Transfer of Rights and Obligations

Members may not transfer their rights or obligations on the use of Chip One Stop’s services to any third party.

Article 28 Governing Law

The Terms and Conditions will be governed by and construed in all respects with the laws of Japan.

Article 29 Relationship with Anti-Social Forces

Members pledge that its members, officers, and employees are not members of gang groups, gangsters, gang related companies, organizations or their officials, and other anti-social forces (“Anti-Social Forces”).

1.

Members must cooperate with any investigation to clarify their members, officers, and employees as non members of the Anti-Social Forces which Chip One Stop will execute from time to time and must submit documents requested by Chip One Stop.

When any of the grounds specified in the following sections is applicable to a member, Chip One Stop may force the member to withdraw from Chip One Stop’s services immediately without any notice:
1) A member has executed violent behaviors, fraud acts, threatening rhetoric, obstruction of business by itself or utilizing third parties;
2) A member or its officers or employees are found to be a member of Anti-Social Force;
3) A member that does not cooperate with the investigation or submit the documents requested from Chip One Stop in accordance with Article 29.2.

Chip One Stop will take no responsibility to compensate any damages incurred by members, when any damages are incurred by members due to termination of contracts under the Terms and Conditions pursuant to Article 29.3 or due to cancellation or invalidity of contracts by fraud or mistake on the ground that members, officers, or employees are a member of the Anti-Social Force.

Article 30 Jurisdiction

Tokyo District Court shall have the exclusive jurisdiction over any dispute arising out of or in connection with this Terms and Conditions.
